In such case the terms of the particular contract consist of those terms on which the writings of the parties agree, together with any supplementary terms incorporated under any other provisions of this title.

WGI Independent Contractor: It is understood that this Agreement provides for the rendering of services by Finder as a finder only, as described herein, and does not include the rendering of any other services, including due diligence services. Finder acknowledges that it is an independent contractor and shall not be deemed to be Client's agent for any purposes whatsoever. Finder shall have no right or authority to assume or create any obligation or liability, expressed or implied, for or on behalf of Client's, or to otherwise bind Client in any manner whatsoever.

CONFIDENTIALITY: Each party in the course of this Agreement may gain access to certain confidential or proprietary information of the other party. Such “Confidential Information” may include all information concerning the business, affairs, products, marketing, systems, technology, customers, end-users, financial affairs, accounting, and statistical data belonging to the other party, in oral, graphic, written, electronic or machine-readable form. The party receiving such information shall hold all such Confidential Information in strict confidence and shall not, without the express prior written permission of the other party disclose such Confidential Information to third parties or use such Confidential Information for any purposes whatsoever, other than the performance of its obligations hereunder. The obligations under this Section shall survive the termination or expiration of this Agreement. This is pursuant to our contract terms.
